Terms of Service
The terms and conditions governing your use of Loopzo.
Last Updated: August 24, 2026
These Terms of Service ("Terms") govern your access to and use of the Loopzo platform (the "Service") operated by [LEGAL ENTITY NAME — COUNSEL REVIEW REQUIRED]("Loopzo," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
[MINIMUM ACCOUNT AGE — COUNSEL/BUSINESS DECISION REQUIRED]
1. Acceptance of Terms
By registering an account, browsing the marketplace, or completing any transaction on Loopzo, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.
2. Loopzo's Role as Platform
Loopzo provides marketplace and platform infrastructure that allows producers to upload, showcase, and sell beats, sound kits, and bundles, and allows artists to discover, preview, and license music. Loopzo is a platform — not a music publisher, record label, or content owner.
Loopzo does not own producer music, is not the composer or publisher of any beat, does not guarantee that any producer content is original or non-infringing, does not guarantee sales, and does not guarantee the licensing suitability of any particular beat for any particular use.
Transactions on Loopzo are primarily between producers and buyers. Loopzo facilitates payment processing, license generation, and payout administration as described in these Terms.
3. Account Registration
To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the security of your account and password and for all activities that occur under your account.
4. Account Accuracy
You may not use a name, email, or identity that is false, misleading, or that impersonates another person or entity. Loopzo may refuse, suspend, or terminate accounts that contain inaccurate or misleading information.
5. User Responsibilities
You agree to use the Service lawfully and responsibly. You must not:
- Upload or sell content you do not have the right to monetize or distribute
- Use the Service for fraudulent, abusive, or unlawful purposes
- Attempt to circumvent payment, licensing, or payout systems
- Interfere with the Service's security or operation
- Harass, threaten, or defraud other users
- Scrape, copy, or redistribute content from the Service without authorization
6. Producer and Artist Roles
Producers may upload beats, sell beat licenses, sell digital products (sound kits), create and sell beat bundles, receive custom beat requests, and collaborate with artists. Producers who sell on Loopzo are also bound by the Producer Seller Agreement.
Artists / Buyers may browse music and products, purchase licenses and digital products, make custom beat requests, and collaborate with producers. Artists are not required to accept the Producer Seller Agreement.
7. Marketplace Transactions
When a buyer purchases a beat license, digital product, or bundle on Loopzo, the transaction is processed through Stripe. Loopzo creates an Order record, generates a license agreement (for beats and bundles), and delivers access to purchased files. The producer's earnings and Loopzo's commission are calculated at the time of sale.
8. Payments
All buyer marketplace payments are processed exclusively through Stripe. Loopzo does not directly collect or store full credit card numbers — card data is handled by Stripe. By completing a purchase, you authorize Stripe to charge your selected payment method for the amount shown at checkout.
9. Fees and Producer Commissions
Loopzo charges a commission on each marketplace sale. The commission rate is determined by the producer's subscription plan at the time of sale. Commission rates and plan features are described on the Pricing page. Loopzo may change commission rates and plan pricing with reasonable notice; changes do not retroactively affect completed sales.
10. Subscriptions
Loopzo offers paid subscription plans for both artists and producers. Paid subscriptions are processed through Stripe. Subscriptions may renew automatically according to the selected billing terms. You may cancel a subscription to take effect at the end of the current billing period where implemented. Access to plan-specific features remains subject to your current plan's entitlements. Subscription fees are separate from marketplace transaction commissions.
For subscription refund or cancellation questions, contact support@loopzo.com.
11. Digital Products
Producers may offer digital products such as drum kits, sample packs, MIDI kits, loop packs, and preset packs. These products are delivered as downloadable files after verified payment. Due to the digital nature of these products, refund eligibility is described in our Refund Policy.
12. Beat Licensing
Beats on Loopzo are offered under three license types: Lease, Premium, and Exclusive. Each license type grants different usage rights as described in the license agreement generated at purchase. Buying a beat does not necessarily mean purchasing copyright ownership — the producer retains ownership of the master recording and composition unless the license explicitly provides otherwise.
License terms may include producer-defined additional terms. Loopzo generates a license agreement document at checkout reflecting the selected license type and any producer-defined terms. Producer-defined terms are not overwritten or replaced by Loopzo.
13. User-Generated Content
Users may upload content including beats, cover art, digital product files, profile information, messages, reviews, and collaboration materials. You are solely responsible for the content you upload and for ensuring you have all necessary rights to do so. Loopzo may remove content that violates these Terms or applicable law.
14. Prohibited Conduct
You must not use the Service to:
- Upload infringing, stolen, or unauthorized content
- Sell content that contains unlicensed samples or third-party material without rights
- Manipulate play counts, reviews, or ratings
- Engage in payment fraud, chargeback abuse, or payout fraud
- Harass, stalk, or threaten other users
- Distribute malware or harmful code
- Violate any applicable law or regulation
15. Collaboration and Custom Requests
Loopzo supports custom beat requests and collaboration between artists and producers. Custom requests, messaging, file delivery, and project workflows are facilitated through the platform. The terms of any custom project are primarily between the requesting artist and the producer. Loopzo provides the communication and delivery infrastructure but does not guarantee the outcome or quality of any custom collaboration.
16. Intellectual Property
Producers retain ownership of their content, including beats, sound kits, and associated materials, except for the limited permissions necessary for Loopzo to host, display, stream previews, market, process purchases, and deliver purchased products and licenses. This clause requires [COUNSEL REVIEW].
The Loopzo name, logo, and platform design are owned by Loopzo and may not be used without authorization.
17. Copyright Complaints
Loopzo respects intellectual property rights. If you believe content on Loopzo infringes your copyright, please see our Copyright & Content Reporting page for instructions on how to report concerns to support@loopzo.com.
18. Refunds
Refund eligibility for digital products and licenses is described in our Refund Policy. Refunds are processed through Stripe and may require manual review depending on the circumstances.
19. Disputes
Payment disputes (chargebacks) are handled through Stripe's financial dispute process. A dispute may affect order status, producer earnings, and payout eligibility. Loopzo may review and respond to disputes as appropriate. [DISPUTE RESOLUTION PROCESS — COUNSEL REVIEW REQUIRED]
20. Producer Payouts
During the controlled beta, producer payouts are processed manually through PayPal. Payouts are subject to a 14-day holding period, a $25 minimum available balance, and a biweekly processing schedule. Full details are in the Payout Policy and the Producer Seller Agreement.
21. Suspension and Termination
Loopzo may suspend or terminate your account and remove content if you violate these Terms, engage in fraudulent or unlawful activity, or for any other reason we determine in good faith to be necessary to protect the Service or other users. You may close your account at any time by contacting support@loopzo.com.
22. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind. Loopzo does not warrant that the Service will be uninterrupted, error-free, or secure, or that any content on the Service is accurate, original, or non-infringing. [FULL DISCLAIMER LANGUAGE — COUNSEL REVIEW REQUIRED]
23. Limitation of Liability
To the maximum extent permitted by law, Loopzo shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits or revenues, arising from your use of the Service. [FULL LIMITATION OF LIABILITY LANGUAGE — COUNSEL REVIEW REQUIRED]
24. Changes to Services and Terms
Loopzo may modify, update, or discontinue features of the Service at any time. We may update these Terms from time to time. When we do, we will update the "Last Updated" date above. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
